Terms of Service

These Terms of Service ("Terms") govern your access to and use of KOSMOS8, including our websites, mobile applications, AI-assisted networking tools, profile generation, matching, messaging, events, permit-based access controls, NDA workflows, and document sharing tools (collectively, the "Service"). The Service is operated by KMC+LUCAS GROUP Inc. ("KOSMOS8," "we," "us," or "our"). By creating an account, downloading or using the app, clicking to accept, or otherwise using the Service, you agree to these Terms.

If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

You must be at least 13 years old to use the Service. If you are under the age of majority in your place of residence, you may use the Service only with the consent and supervision of a parent or legal guardian. You may not use the Service if you are prohibited by applicable law from doing so.

The Service is not directed to children under 13. If we learn that we have collected personal information from a child under 13 without legally required consent, we will take appropriate steps to delete the information and terminate the account.

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree to provide accurate account information, keep it current, and promptly notify us of any unauthorized access or security incident involving your account.

KOSMOS8 provides AI-assisted professional networking, profile generation, matching and recommendations, user messaging, event participation, permit-based access controls, NDA workflow support, and tools for sharing resumes, portfolios, business plans, pitch materials, and other documents.

We may modify, suspend, or discontinue any part of the Service at any time, subject to applicable law and any paid subscription commitments stated at purchase.

"User Content" means content you upload, submit, create, transmit, display, or share through the Service, including profile information, messages, resumes, portfolios, business plans, pitch decks, documents, images, and event-related content. You retain ownership of your User Content.

You grant KOSMOS8 a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, perform, and create technical derivatives of your User Content solely as needed to operate, secure, improve, and provide the Service; enable your requested sharing and collaboration; generate profiles, previews, recommendations, and AI-assisted outputs; comply with law; and enforce these Terms.

You represent that you have all rights and permissions necessary to upload and share your User Content, and that your User Content does not violate law, third-party rights, confidentiality obligations, or these Terms.

KOSMOS8 includes social and networking features. Profile fields, badges, posts, comments, event participation, and other content may be public, visible to selected communities, visible to event organizers or permit holders, or private, depending on the product setting and your choices.

Private messages and restricted documents are not public, but they are visible to the recipients you select and may be accessed by KOSMOS8 and its service providers as necessary to provide the Service, maintain security, investigate abuse, comply with law, or enforce these Terms. Do not upload or send confidential information unless you are comfortable sharing it with the intended recipients and understand the applicable access settings.

Other users may copy, screenshot, download, or further disclose content you make available to them. We cannot control the actions of recipients after content is shared.

KOSMOS8 may provide permit-based access controls, restricted sharing, and NDA workflow tools. These tools are designed to help manage access, but they do not guarantee confidentiality, prevent every unauthorized disclosure, or replace legal review of an NDA or confidentiality agreement.

Non-public content, pitch decks, private messages, confidential documents, and NDA-protected materials are not used by KOSMOS8 to train general-purpose AI models. We may process such content through service providers solely to provide the requested Service features, subject to applicable contractual and technical controls.

The Service may use artificial intelligence and automated systems to draft profiles, summarize content, generate recommendations, support search, match users, and assist with workflow tasks. AI-generated outputs may be inaccurate, incomplete, outdated, or unsuitable for your particular situation. You are responsible for reviewing outputs before relying on them or sharing them.

KOSMOS8 does not provide legal, investment, employment, tax, medical, or other professional advice. AI features and matching are informational tools and are not intended to make legally or similarly significant decisions about you, such as decisions about employment, credit, housing, insurance, education, or eligibility for essential services.

You agree not to use the Service to:

• violate any law, regulation, court order, contract, confidentiality obligation, or third-party right;
• impersonate another person, misrepresent your affiliation, or create deceptive profiles;
• harass, threaten, bully, cyberbully, shame, defame, dox, stalk, exploit, or abuse any person, including minors;
• upload or share hate speech, violent threats, sexual exploitation, non-consensual intimate content, content encouraging self-harm or suicide, or content that is otherwise unlawful or harmful;
• target minors with marketing or advertising for alcohol, tobacco, cannabis, firearms, ammunition, lotteries, adult sexual content, tanning, tattoos, body branding, drug paraphernalia, or other age-restricted or legally restricted products or services;
• scrape, crawl, harvest, or collect data from the Service except as expressly permitted by us in writing;
• send spam, unsolicited promotions, malware, phishing, or harmful code;
• circumvent access controls, rate limits, security features, or user privacy settings;
• upload personal information, confidential information, trade secrets, or documents about another person or company without appropriate rights, notices, and permissions;
• use the Service for unlawful securities offerings, investment solicitation, broker-dealer activity, investment advisory activity, or crowdfunding intermediary activity; or
• use AI outputs or platform data to make discriminatory, unlawful, or unfair decisions.

You may report harassment, cyberbullying, threats, exploitation of minors, intellectual property infringement, unlawful content, privacy violations, or other misuse through any in-app reporting tool we provide or by emailing support@kosmos8.ai with enough information to locate the content or account. Where allowed, include screenshots, URLs, account identifiers, and your preferred contact method.

We may review reports, remove or restrict content, suspend or terminate accounts, preserve evidence, notify affected users, contact law enforcement, or take other action we deem appropriate. We may provide written confirmation, status updates, and a final determination when required by applicable law. If a report involves imminent risk of harm, contact emergency services first.

The Service may integrate with or rely on third-party services, including Google OAuth, OpenAI API, Google Vertex AI, Supabase, Stripe, Google Analytics 4, cloud hosting, app stores, email, security, and support providers. Third-party services may have their own terms and privacy policies. We are not responsible for third-party services except to the extent required by applicable law or our agreements with those providers.

Some features may require payment. Payments may be processed by Stripe, an app store, or another payment processor presented at checkout. You authorize us and our payment processors to charge all applicable fees, taxes, and renewal charges using the payment method you provide.

Subscription terms, renewal periods, cancellation steps, and refund rights will be shown at purchase. Unless stated otherwise or required by law, fees are non-refundable, and cancellation stops future renewal charges but does not automatically refund past charges. If you purchase through an app store, that app store may control billing, cancellation, and refund processes.

KOSMOS8 is not a broker-dealer, investment adviser, securities exchange, funding portal, crowdfunding intermediary, law firm, recruiter, employment agency, tax adviser, or other regulated professional adviser. Content, introductions, matching, events, documents, and AI outputs on the Service do not constitute legal, investment, employment, tax, or professional advice and should not be relied upon as such.

KOSMOS8 and its licensors own all rights in the Service, including software, interfaces, design, trademarks, logos, and non-user content. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Service except as permitted by law or with our written consent.

If you believe content on the Service infringes your copyright or other intellectual property rights, contact support@kosmos8.ai with: your contact information; identification of the work claimed to be infringed; identification of the allegedly infringing material and where it appears; a statement that you have a good-faith belief the use is not authorized; a statement that the information is accurate; and your physical or electronic signature. We may remove content and terminate repeat infringers where appropriate.

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Service, you acknowledge our Privacy Policy.

You may stop using the Service at any time and may request account deletion as described in the Privacy Policy. We may suspend or terminate your access if you violate these Terms, create legal or security risk, misuse the Service, fail to pay fees, or if we discontinue the Service. Termination does not limit any rights or obligations that should reasonably survive, including payment obligations, ownership, confidentiality, disclaimers, limitation of liability, indemnity, and dispute-resolution terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOSMOS8 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KMC+LUCAS GROUP INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR UNAUTHORIZED ACCESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO KOSMOS8 FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

You agree to defend, indemnify, and hold harmless KOSMOS8 from claims, damages, liabilities, losses, costs, and expenses arising from your User Content, your use of the Service, your violation of these Terms, your violation of law, or your violation of another person's rights, except to the extent prohibited by law.

Please read this section carefully. To the extent permitted by law, you and KOSMOS8 agree to resolve disputes through final and binding individual arbitration rather than in court, except that either party may bring qualifying claims in small-claims court and either party may seek injunctive or equitable relief for intellectual property misuse, unauthorized access, or data-security abuse.

Before starting arbitration, the party bringing a claim must send a written notice describing the dispute and requested relief to support@kosmos8.ai. The parties will attempt in good faith to resolve the dispute informally for 30 days. If not resolved, either party may begin arbitration under the rules of a neutral arbitration provider such as JAMS or AAA, unless the parties agree otherwise.

To the extent permitted by law, disputes must be brought only in an individual capacity and not as a plaintiff or class member in any class, consolidated, representative, private attorney general, or collective proceeding. You may opt out of this arbitration and class-action waiver by emailing support@kosmos8.ai within 30 days after you first accept these Terms, with the subject line "Arbitration Opt-Out" and your account email address.

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules, except to the extent federal law or other mandatory law provides otherwise. If a dispute is not subject to arbitration, the exclusive venue will be the state or federal courts located in California, unless applicable law requires another venue.

We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms, updating the "Last Updated" date, emailing you, or providing in-app notice, as appropriate. Your continued use after the effective date of the updated Terms means you accept the changes.
